Purchase Terms and Conditions

1. Identification of the Parties

The fazer.ai Kanban is a digital product (software extension for Chatwoot) offered and operated by FAZER.AI LTDA, a private legal entity registered under CNPJ 59.554.465/0001-37, headquartered in the city of São Paulo/SP, hereinafter referred to as the CONTRACTOR.

The acquirer of the software usage license, whether an individual or legal entity, identified at the time of purchase, hereinafter referred to as the LICENSEE.

2. Purpose

These Terms govern the acquisition and use of the fazer.ai Kanban license, a software extension that adds Kanban board (visual funnel) functionalities to the Chatwoot platform, enabling visual management of leads and sales opportunities directly within the support environment.

2.1. The software is installed and runs on the LICENSEE's infrastructure (self-hosted), and the LICENSEE is responsible for maintaining the hosting environment.

3. Plans, Pricing and Licensing

3.1. The fazer.ai Kanban usage license is charged at R$ 129.90 (one hundred and twenty-nine reais and ninety centavos) per month, per Chatwoot domain, with automatic monthly renewal.

3.2. Each license is linked to a single domain (Chatwoot instance). Use on additional domains requires the purchase of additional licenses.

3.3. There is no user limit within the licensed domain.

3.4. Prices may be adjusted with prior notice of at least 30 (thirty) days before the renewal date.

3.5. Payment will be processed through the Stripe platform, according to the options available at the time of purchase.

4. Activation and Installation

4.1. After payment confirmation, the LICENSEE will receive access to the installation script and the necessary credentials to activate the Kanban on their Chatwoot instance.

4.2. Installation is the LICENSEE's responsibility, with support available through the channels indicated in Clause 12.

4.3. The license will be automatically renewed at the end of each monthly period, unless cancelled by the LICENSEE before the renewal date.

5. Guarantee and Right of Withdrawal

5.1. The CONTRACTOR offers an unconditional guarantee of 14 (fourteen) calendar days from the date of purchase. During this period, the LICENSEE may request a full refund of the amount paid, without the need for justification.

5.2. This extended 14-day guarantee already encompasses and exceeds the minimum 7 (seven) day period provided for in Article 49 of the Consumer Protection Code (Law No. 8,078/90).

5.3. To exercise the right to a refund, the LICENSEE must contact the CONTRACTOR through the support channels indicated in Clause 12.

5.4. The refund will be processed within 15 (fifteen) business days after the request, through the same payment method used for the purchase.

6. Cancellation and Refund

6.1. The LICENSEE may cancel the subscription at any time through the support channels or directly on the payment platform.

6.2. After cancellation, the license will remain active until the end of the already paid monthly period.

6.3. Outside the 14-day guarantee period, cancellation will not entitle a proportional refund, unless otherwise decided at the CONTRACTOR's discretion.

6.4. The CONTRACTOR reserves the right to cancel the license of any LICENSEE who violates these Terms, without the right to a refund.

7. Permitted Use and Restrictions

By acquiring the license, the LICENSEE agrees to:

• Use the software exclusively on the Chatwoot domain linked to the acquired license.
• Not reproduce, distribute, sublicense, resell, or make available the software or its source code to third parties, in whole or in part, without express authorization from the CONTRACTOR.
• Not reverse engineer, decompile, or disassemble the software.
• Not remove or alter intellectual property notices, trademarks, or identifications present in the software, except through customization tools provided within the software itself for that purpose.

8. Intellectual Property

8.1. The fazer.ai Kanban, including its source code, interface, design, documentation, and associated materials, is the exclusive property of the CONTRACTOR and/or its licensors.

8.2. The acquisition of the license does not transfer to the LICENSEE any intellectual property rights over the software, granting only the right of use under the terms established herein.

8.3. The fazer.ai Kanban fully complies with the Chatwoot Community Edition License, ensuring compliance and legal security for the LICENSEE.

9. Availability and Support

9.1. As it is self-hosted software, the availability of the Kanban depends on the infrastructure maintained by the LICENSEE.

9.2. The CONTRACTOR offers technical support for issues related to the installation, configuration, and use of the software, through the channels indicated in Clause 12.

9.3. The CONTRACTOR will make reasonable efforts to provide updates and bug fixes, without, however, guaranteeing specific frequency or timelines.

10. Personal Data Protection

10.1. The CONTRACTOR will process the LICENSEE's personal data in accordance with the General Data Protection Law (Law No. 13,709/2018 - LGPD).

10.2. The data collected will be used exclusively for: (i) license and subscription management; (ii) communication about the service and updates; (iii) invoice issuance; (iv) compliance with legal obligations.

10.3. Client and lead data managed by the LICENSEE within the Kanban is processed and stored exclusively on the LICENSEE's own infrastructure, and is not accessed or stored by the CONTRACTOR.

11. Limitation of Liability

11.1. The CONTRACTOR is not liable for losses or damages arising from: (i) improper use of the software; (ii) failures in the LICENSEE's infrastructure; (iii) incompatibility with unsupported versions of Chatwoot; (iv) modifications made by the LICENSEE to the software code.

11.2. The CONTRACTOR's total liability, under any circumstances, shall be limited to the amount paid by the LICENSEE in the last 12 (twelve) months of subscription.

13. Changes to the Terms

13.1. The CONTRACTOR may change these Terms at any time, with prior notice to the LICENSEE of at least 15 (fifteen) days.

13.2. Continued use of the software after the changes take effect will be considered acceptance of the new Terms.

14. General Provisions and Jurisdiction

14.1. These Terms are governed by the laws of the Federative Republic of Brazil.

14.2. The courts of the District of São Paulo/SP are elected to resolve any disputes arising from these Terms, with express waiver of any other, no matter how privileged.

14.3. The tolerance of either party regarding non-compliance with any clause shall not imply novation or waiver of rights.
