Purchase Terms and Conditions

1. Identification of the Parties

The fazer.ai Kanban is a digital product (software extension for Chatwoot) offered and operated by FAZER.AI LTDA, a private legal entity registered under CNPJ 59.554.465/0001-37, headquartered in the city of São Paulo/SP, hereinafter referred to as the CONTRACTOR.

The acquirer of the software usage license, whether an individual or legal entity, identified at the time of purchase, hereinafter referred to as the LICENSEE.

2. Purpose

These Terms govern the acquisition and use of the fazer.ai Kanban license, a software extension that adds Kanban board (visual funnel) functionalities to the Chatwoot platform, enabling visual management of leads and sales opportunities directly within the support environment.

2.1. The software is installed and runs on the LICENSEE's infrastructure (self-hosted), and the LICENSEE is responsible for maintaining the hosting environment.

3. Plans, Pricing and Licensing

3.1. The fazer.ai Kanban usage license is charged at R$ 129.90 (one hundred and twenty-nine reais and ninety centavos) per month, per Chatwoot domain, with automatic monthly renewal.

3.2. Each license is linked to a single domain (Chatwoot instance). Use on additional domains requires the purchase of additional licenses.

3.3. There is no user limit within the licensed domain.

3.4. Prices may be adjusted with prior notice of at least 30 (thirty) days before the renewal date.

3.5. Payment will be processed through the Stripe platform, according to the options available at the time of purchase.

4. Activation and Installation

4.1. After payment confirmation, the LICENSEE will receive access to the installation script and the necessary credentials to activate the Kanban on their Chatwoot instance.

4.2. Installation is the responsibility of the LICENSEE, with support available through the channels indicated in Clause 13.

4.3. The license will be automatically renewed at the end of each monthly period, unless cancelled by the LICENSEE before the renewal date.

5. Guarantee and Right of Withdrawal

5.1. The CONTRACTOR offers an unconditional guarantee of 14 (fourteen) calendar days from the date of purchase. During this period, the LICENSEE may request a full refund of the amount paid, without the need for justification.

5.2. This extended 14-day guarantee already encompasses and exceeds the minimum 7 (seven) day period provided for in Article 49 of the Consumer Protection Code (Law No. 8,078/90).

5.3. To exercise the right to a refund, the LICENSEE must contact the CONTRACTOR through the support channels indicated in Clause 13.

5.4. The refund will be processed within 15 (fifteen) business days after the request, through the same payment method used for the purchase.

6. Cancellation and Refund

6.1. The LICENSEE may cancel the subscription at any time through the support channels or directly on the payment platform.

6.2. After cancellation, the license will remain active until the end of the already paid monthly period.

6.3. Outside the 14-day guarantee period, cancellation will not entitle a proportional refund, unless otherwise decided at the CONTRACTOR's discretion.

6.4. The CONTRACTOR reserves the right to cancel the license of any LICENSEE who violates these Terms, without the right to a refund.

7. Permitted Use and Restrictions

By acquiring the license, the LICENSEE agrees to:

• Use the software exclusively on the Chatwoot domain linked to the acquired license.
• Not reproduce, distribute, sublicense, resell, or make available the software or its source code to third parties, in whole or in part, without express authorization from the CONTRACTOR.
• Not reverse engineer, decompile, or disassemble the software, except as expressly authorized under Clause 8 (Code Licensing Structure).
• Not remove or alter intellectual property notices, trademarks, or identifications present in the software, except through customization tools provided within the software itself for that purpose.

7.1. Modifications to the code in the fazer_ai/ directory. While maintaining an active subscription with the CONTRACTOR, the LICENSEE may modify the code in the fazer_ai/ directory of the Chatwoot fazer.ai repository and publish patches, exclusively for use in its own licensed instance. The use, copying, display, or distribution of such modifications and patches is conditioned on maintaining valid fazer.ai licenses in sufficient quantity for the users of the instance.

7.2. Assignment of rights over modifications. The LICENSEE acknowledges and agrees that any modifications and patches published to the code in the fazer_ai/ directory belong entirely to the CONTRACTOR and its licensors, who retain all rights, title, and interest in such modifications.

7.3. Use for development and testing without a subscription. Regardless of the existence of an active subscription, it is permitted to copy and modify the code in the fazer_ai/ directory exclusively for internal development and testing purposes, with any production use prohibited.

8. Code Licensing Structure

8.1. The fazer.ai Kanban is distributed as part of Chatwoot fazer.ai, a fork of the official Chatwoot repository. The repository contains code governed by three distinct licenses, depending on the directory in which it resides:

• Project root: Chatwoot Community License (MIT Expat), administered by Chatwoot Inc.
• enterprise/ directory: Chatwoot Enterprise License, administered by Chatwoot Inc. Full text available at https://github.com/chatwoot/chatwoot/blob/develop/enterprise/LICENSE.
• fazer_ai/ directory: fazer.ai License, administered by the CONTRACTOR. Full text reproduced in Appendix I of these Terms.

8.2. Scope of the fazer.ai Kanban license. The acquisition of a fazer.ai Kanban license grants the LICENSEE the right to use the features developed under the fazer.ai License (code residing in the fazer_ai/ directory). Third-party components incorporated into the software remain governed by the original licenses of their respective holders.

8.3. fazer.ai license does not include Chatwoot Enterprise Edition. The acquired license does not cover Chatwoot Enterprise Edition features (code residing in the enterprise/ directory), which must be licensed separately through the official Chatwoot team where applicable. fazer.ai features, including the Kanban, operate independently and do not require a Chatwoot Enterprise license to function.

9. Intellectual Property

9.1. The fazer.ai Kanban, including its source code, interface, design, documentation, and associated materials, is the exclusive property of the CONTRACTOR and/or its licensors.

9.2. The acquisition of the license does not transfer to the LICENSEE any intellectual property rights over the software, granting only the right of use under the terms established herein.

9.3. The fazer.ai Kanban fully complies with the Chatwoot Community Edition License, as detailed in Clause 8, ensuring compliance and legal security for the LICENSEE.

10. Availability and Support

10.1. As it is self-hosted software, the availability of the Kanban depends on the infrastructure maintained by the LICENSEE.

10.2. The CONTRACTOR offers technical support for issues related to the installation, configuration, and use of the software, through the channels indicated in Clause 13.

10.3. The CONTRACTOR will make reasonable efforts to provide updates and bug fixes, without, however, guaranteeing specific frequency or timelines.

11. Personal Data Protection

11.1. The CONTRACTOR will process the LICENSEE's personal data in accordance with the General Data Protection Law (Law No. 13,709/2018 - LGPD).

11.2. The data collected will be used exclusively for: (i) license and subscription management; (ii) communication about the service and updates; (iii) invoice issuance; (iv) compliance with legal obligations.

11.3. Client and lead data managed by the LICENSEE within the Kanban is processed and stored exclusively on the LICENSEE's own infrastructure, and is not accessed or stored by the CONTRACTOR.

12. Limitation of Liability

12.1. The CONTRACTOR is not liable for losses or damages arising from: (i) improper use of the software; (ii) failures in the LICENSEE's infrastructure; (iii) incompatibility with unsupported versions of Chatwoot; (iv) modifications made by the LICENSEE to the software code.

12.2. The CONTRACTOR's total liability, under any circumstances, shall be limited to the amount paid by the LICENSEE in the last 12 (twelve) months of subscription.

12.3. The software is provided "AS IS", without warranty of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, subject to the minimum legal warranties provided under the Brazilian Consumer Protection Code and the cooling-off period established in Clause 5 of these Terms.

14. Amendments to These Terms

14.1. The CONTRACTOR may change these Terms at any time, with prior notice to the LICENSEE of at least 15 (fifteen) days.

14.2. Continued use of the software after the changes take effect will be considered acceptance of the new Terms.

15. General Provisions and Jurisdiction

15.1. These Terms are governed by the laws of the Federative Republic of Brazil.

15.2. The courts of the city of São Paulo/SP, Brazil, are hereby elected to settle any disputes arising from these Terms, with express waiver of any other jurisdiction, however privileged.

15.3. The tolerance of either party regarding the non-compliance with any clause shall not imply novation or waiver of rights.

The canonical text of the fazer.ai License is reproduced below, as published in the fazer_ai/LICENSE file of the Chatwoot fazer.ai repository. The original text is written in English. In case of divergence between the text below and the file in the repository, the repository file prevails as the source of truth.

With regard to the software, code, documentation, tests, and other assets that
reside inside the "fazer_ai/" directory of this repository (collectively, the
"fazer.ai Software"):

This fazer.ai Software may only be used in production if you (and any entity
that you represent) have agreed to, and are in compliance with, a valid
Chatwoot fazer.ai subscription agreement, the Chatwoot Terms of Service, or
another written agreement with Chatwoot that governs access to fazer.ai
functionality (collectively, the "fazer.ai Terms"). Subject to that agreement,
you may modify the fazer.ai Software and publish patches to the fazer.ai
Software. You agree that Chatwoot and/or its licensors retain all right, title,
and interest in and to all such modifications and/or patches, and all such
modifications and/or patches may only be used, copied, modified, displayed,
distributed, or otherwise exploited while you maintain a valid fazer.ai license
for the correct number of user seats. Notwithstanding the foregoing, you may
copy and modify the fazer.ai Software for development and testing purposes
without requiring a subscription. You are not granted any other rights beyond
what is expressly stated herein. Subject to the foregoing, it is forbidden to
copy, merge, publish, distribute, sublicense, and/or sell the fazer.ai Software.

THE FAZER.AI SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO
EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES
OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE,
ARISING FROM, OUT OF OR IN CONNECTION WITH THE FAZER.AI SOFTWARE OR THE USE OR
OTHER DEALINGS IN THE FAZER.AI SOFTWARE.

For all third party components incorporated into the fazer.ai Software, those
components are licensed under the original license provided by the owner of the
applicable component.
